Private Educational Consulting Agreement A-32 Calcutta Greens Commercial Complex, 1st Floor, Kolkata - 700075 This private Educational Consulting Agreement, here in after referred as Agreement, is entered into and made effective as of the date set forth at the end of this document by and between the following parties having a primary address.

VIDYAXCEL'S RESPONSIBILITIES INCLUDE

1. Detailed assessment of the student's needs.
2. Consultations with teachers and other professionals when appropriate.
3. Review of academic records, psychological evaluations (if applicable), test scores and other materials relevant to college selection.
4. Extensive research to develop a customized list of colleges.
5. Assistance with applications, including review of student essays.
6. Assistance with understanding financial aid offers and making final college choice.
7. Staying informed via college visits and participation in professional meetings.
8. Committing to the Independent Educational Consultants Association means upholding ethical standards and actively participating in a community dedicated to excellence in educational consulting.
9. Maintaining confidentiality of identifying and personal information except with client's explicit consent or when otherwise legally mandated.

VIDYAXCEL'S RESPONSIBILITIES DO NOT INCLUDE

1. Guarantee of admission to particular colleges.
2. Influencing college admissions officers.
3. Writing letters of recommendation.

Student and family's responsibilities include

1. Consistent, timely communication with VIDYAXCEL during the application process.
2. Acting in a truthful, ethical, and conscientious manner.
3. Completing applications and submitting supporting materials (e.g., transcripts, test scores, letters of recommendation) prior to deadlines.
4. Providing 24 hours' notice for canceling meetings.
5. Supplying background information to VIDYAXCEL as requested (e.g., parent and student questionnaires, transcripts, test scores, high school profile).
6. Scheduling college tours and interviews.
7. Notifying VIDYAXCEL of college acceptances and of the student's final decision. violation of the agreement, particularly item #1 (consistent communication) or #2 (truthful/ethical behavior) may be grounds for termination. VIDYAXCEL recommendations are based on the accuracy of information provided by the student. VIDYAXCEL does not accept compensation from any institutions for placement of the student.

Relationship of the Parties

The parties hereby acknowledge and agree that nothing in this Agreement shall be deemed to come to constitute a partnership joint venture agency relationship or otherwise between the parties and this Agreement is for the soul and express purpose of rendering of a specific Educational Consulting Services by the Educational Consultant to the client under the terms and conditions here in.

General Provisions

Governing law this Agreement shall be governed in all respects by the laws of the INDIA and any applicable courts within the State of West Bengal. The parties agree the first choice of law then even jurisdiction provision is not permissive but rather mandatory in nature. Language English Agreements Assignments or rights granted hereunder may not be assigned sold least or other way transferred in a hole or by part to another Party. Amendments to this Agreement may be amended in writing signed by both parties. No waiver: none of the terms of this Agreement shall be deemed to have been waived by any act or acquiescence of either Party. Only an additional written Agreement can constitute waiver of any of the terms as Agreement between the parties. No waiver of any term or provision of this Agreement shall constitute a waiver of any other term or provision or of the same provision on a future date. Failure of either Party to enforce any term of the single remit shall not constitute waiver of such term or any other term Force Majeure. Educational Consultant is not liable for any failure to perform due to circumstances out of reasonable control including but not limited to acts of God, acts of civil authorities, acts of military, acts of authorities, riots, embargoes, protests, acts of nature, pandemics, natural disasters and any other applications which may be due to unforeseen circumstances.

I understand and agree to the conditions stated above

I agree to pay The full fees of MBBS/BDS, MD/MS, BTECH, MBA and Other Courses for a comprehensive package as suggested and mutually decided by Vidyaxcel and the party. This fee includes all of VIDYAXCEL's responsibilities detailed above. Payment is due in full at the time of contract signing. The on-going rate for specific tasks such as creation of a college list or essay review. An initial retainer amount is required, and the balance will be billed post Admission. Fees are non-refundable. This working relationship begins upon signing of the agreement, and normally ends upon a student's commitment to a specific college, unless otherwise mutually decided in advance. VIDYAXCEL may choose to terminate the agreement if the family is not fulfilling its responsibilities. VIDYAXCEL will not refund fees paid for work that has already been completed. Additional services requested by the family that are not included in this agreement (e.g., assisting the student through the transition process after enrolling in college) require an additional fee.

Please note (Medical)

i. In case of direct admission there is always a chance of deviation in promised agreement amount by 5 to 10%. This by no means shall be treated as breach of contract. Hence client has to bear the difference amount from his/her own pocket.
ii. Client has to pay a service charge of 2 lacs in case of direct admission & 2.5 lacs in case of premium counselling to Vidyaxcel post admission. No negotiation will be allowed whatsoever.Vidyaxcel will have sole right to take legal action against client in case of non-payment.Service charge is 100% non refundable.

Please note (Engineering & Management)

i. In case of direct admission there is always a chance of deviation in promised agreement amount by 5 to 10%. This by no means shall be treated as breach of contract. Hence client has to bear the difference amount from his/her own pocket.
ii. Client has to pay a service charge of 50k in case of direct admission & 1lac in case of premium counselling to Vidyaxcel post admission. No negotiation will be allowed whatsoever. Vidyaxcel will have sole right to take legal action against client in case of non-payment.Service charge is 100% non refundable.
